Clark Hill Cannabis Co-Chair Sander Zagzebski, joins Deep Roots for a discussion on best practices for creating legal deal structures that enable brand IP expansion strategies. Sander and Deep Roots will explore the three main business models for multi-state brand expansion: asset light, asset heavy and the hybrid model. Discussions about pros and cons of each approach and how attention to detail will enable brands and license holders to create successful partnership that drive shareholder value. Topics to be included are deal structure options, financial considerations, structural impacts on compliance and how to plan in advance for relationship where agreed upon expectations aren’t achieved.

Sander C. Zagzebski, Co-Chair of the Cannabis Industry Group at Clark Hill PLC.

Sander C. Zagzebski is a Corporate and Securities Partner at Clark Hill PLC and Co-Chair of its Cannabis Industry Group.  Sander represents clients, including cannabis industry clients, in mergers, acquisitions, dispositions, and other change-of-control transactions.  Sander’s experience as a transaction corporate/securities lawyer covers joint ventures and strategic alliances; capital raising transactions (offerings of debt and equity securities, including private equity investments and venture capital investments); restructurings and recapitalizations; structured finance transactions; private equity and venture capital fund formation and governance; and general corporate, partnership and LLC matters.  In addition to cannabis companies, Sander has represented technology and new media companies, investment advisors, aerospace and defense companies, bank holding companies, manufacturing companies, real estate companies, entertainment companies, and consumer product companies in M&A, capital raising, and other strategic corporate transactions ranging in size from under $10M to in excess of $1B.
